What Are the Duties of KS&A Directors?

Serving as a Board member of a non-profit organization such as KS&A is one of the most challenging and rewarding of volunteer assignments. While election to a board is an honor, board members also have important legal and fiduciary responsibilities that require a commitment of time, skill and resources. 

In KS&A’s case, we have reached a point in the organizational transition that began in late 2003 where KS&A’s primary hurdle is to raise adequate funding to hire and maintain a full-time, paid executive staff.  Until then, the organization continues to run based on the commitment and dedicated efforts of many volunteers.  Still, in order to accomplish our aspirations and to realize the organization’s full potential, we need to build additional capacity.  Realizing this need, the 2004 / 2005 KS&A Board of Directors unanimously established “building capacity” – meaning to raise money and create several key full-time paid staff positions – as being the principal focus of the incoming Board. 

Accordingly, the ideal Board member is a person who is strongly committed to KS&A’s mission and vision, and who additionally has the skills, interest and resources (either themselves or through contacts with persons and companies having such resources) that will help to fuel the organization’s growth – and therefore from which we will be able to add needed programs and new services that we aspire to provide and foster.


2005 / 2006 Nominations and Election Process

More than twenty individuals received nominations as potential KS&A Directors and completed a Nominee Information Form, highlighting their qualifications and summarizing their reasons for interest in serving as a Director.  These forms, together with any additional information supplied by the nominee and/or one or more members of a 14-person Nominating Committee speaking on their behalf, was provided to the incumbent KS&A Directors to inform their voting in the Officer and Director elections, which were held on Sunday, January 22, 2006, with a runoff election taking place on Tuesday, January 24, 2005.

According to the anonymous electronic voting process adopted by the Board for the election, of these nominees, the five individuals who received the greatest number of points through rank voting were elected to a 2-year term as a KS&A Board member; and the next five highest ranked nominees in the voting were elected to a one-year term.  Based on this process, Ms. Aylstock, Ms. Blanchard, Dr. Brinton, Mr. Lawrence and Mr. Shelton were elected to 2-year terms on the KS&A Board (such terms run from February 1, 2006 to January 31, 2008); and Mr. Bergante, Ms. Clark, Dr. Fennoy, Ms. Gane and Mr. Wright were elected to 1-year terms on the KS&A Board (such terms run from February 1, 2006 to January 31, 2007).
